What is The Corporate Transparency Act (CTA) and how can I file it?

The Corporate Transparency Act (CTA) requires certain businesses, including S Corporations, to report beneficial ownership information to FinCEN. Non-exempt S Corporations must provide details of their beneficial owners, including names, birth dates, addresses, and identification numbers.


For existing S Corporations formed before January 1, 2024, the deadline to submit initial reports is January 1, 2025.

New S Corporations created on or after January 1, 2024, must file within 90 days of their creation. New S Corporations created on or after January 1, 2025, must file within 30 days of their creation. Non-compliance can have significant repercussions.


You can e-file the report in the Beneficial Ownership Information Report (BOIR) website : https://www.fincen.gov/boi

 

Under "File," click "File a report using the BOI E-filing System" and enter your biographical information about you and your company to complete it.
