What is The Corporate Transparency Act (CTA) and how can I file it?

All entities created in the United States — including those previously known as “domestic reporting companies” — and their beneficial owners are now exempt from the requirement to report beneficial ownership information (BOI) to FinCEN.

Existing foreign companies that must report their beneficial ownership information have at least an additional 30 days from the date of publication of the interim final rule

 

The Corporate Transparency Act (CTA) requires certain businesses, including LLC and S Corporations, to report beneficial ownership information to FinCEN. Non-exempt entities must provide details of their beneficial owners, including names, birth dates, addresses, and identification numbers.


For existing entities formed before January 1, 2024, the deadline to submit initial reports is January 1, 2025.

New entities created on or after January 1, 2024, must file within 90 days of their creation. New entities  created on or after January 1, 2025, must file within 30 days of their creation. Non-compliance can have significant repercussions.


You can e-file the report in the Beneficial Ownership Information Report (BOIR) website : https://www.fincen.gov/boi

 

Under "File," click "File a report using the BOI E-filing System" and enter your biographical information about you and your company to complete it.
